Terms of Service
The rules governing Meridia services, designed for professional hospitality clients.

Scope and audience
Meridia provides digital services for professional hospitality businesses: bespoke websites, Sofia (enquiry response and qualification), Stay, Table, Guest Commerce, Growth and connected tools. Public offers are reserved for business clients.
Signed proposals, orders or checkout conditions prevail over these general terms for the specific part agreed.
Activation, setup and subscriptions
Services start upon proposal acceptance and setup payment, unless otherwise stated in writing. Monthly subscriptions run from the date stated in the proposal.
There is no free trial unless explicitly stated in the proposal or checkout.

Scope and changes
Each service has a scope defined in the proposal: pages, languages, locations, modules and volumes. Included changes are quantified; no service includes unlimited changes.
Out-of-scope requests are assessed and, if accepted, formalised through a separate order before execution.
Cancellation and renewals
Subscriptions renew monthly. You can cancel before the next renewal by writing to info@meridiagency.it or through the client area; cancellation stops future charges but does not void obligations already accrued.
For one-off services, once work has started or been delivered no automatic refund applies; commitments stated in the proposal remain valid.
Content and ownership
Domain, data, content, supplied photography and accounts remain the client's. The client warrants having rights to the material provided.
Meridia's software, templates, reusable components and infrastructure remain Meridia's unless otherwise agreed in writing. On service closure we export data and content in a readable format upon reasonable request.
Client obligations
- Provide accurate, current and non-misleading information.
- Not use the services for unlawful activities, spam, discriminatory content or third-party rights violations.
- Protect credentials and access delivered or generated during onboarding.
- Promptly report security issues or unauthorised access.
Meridia obligations
- Deliver the service with professional care and clear communication.
- Never promise guaranteed commercial results: we provide tools and method, not revenue guarantees.
- Process data according to the Privacy Policy.
- Announce relevant maintenance where possible and address technical issues proportionately.
Guest Commerce
In the Guest Commerce module the client is the seller of record towards the consumer: supplier account, revenue, taxes and consumer obligations belong to the client. Meridia designs, configures and operates within the contracted scope and is not liable for the print supplier's product obligations.
Availability and liability
The service also depends on third-party providers (hosting, Stripe, email providers, language-model providers). Third-party outages may temporarily affect the service.
Within legal limits, Meridia's financial liability for unavailability attributable to Meridia is capped at the subscription value of the affected period. Nothing excludes liability where the law does not allow it.
Governing law
These terms are governed by Italian law. For disputes with business clients the courts of Meridia's registered office have jurisdiction, unless a mandatory legal venue applies.
Updates
We may update these terms; substantial changes are communicated to active clients with reasonable notice. The current version is always published on this page.
